Terms of Use

1. Eligibility & Registration

To use Elite Companions, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into binding contracts.
• You are not prohibited from using our services under any applicable laws.
• You will complete identity verification by submitting a valid government-issued ID document.
• All information you provide during registration is accurate, current, and truthful.
• You will maintain only one account on the Platform.

We reserve the absolute right to refuse service, terminate accounts, or remove content at our sole discretion, without prior notice, for any reason or no reason.

2. Account Security

You are solely responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Immediately notifying us of any unauthorized access to your account.
• Ensuring you log out at the end of each session, especially on shared devices.

3. Code of Conduct

As a member, you agree to conduct yourself with dignity and respect. You will NOT:

• Harass, threaten, stalk, intimidate, or abuse any member.
• Create fake profiles, impersonate any person or entity, or misrepresent your identity.
• Solicit money, financial information, gifts, or any form of compensation from other members.
• Use the Platform for any commercial purpose, advertising, or promotion of products/services.
• Share explicit, obscene, or pornographic content without clear consent from the recipient.
• Share other members' personal information outside the Platform.
• Engage in any illegal activity under South African law or the laws of your jurisdiction.
• Upload viruses, malware, or any malicious code.
• Attempt to bypass any security features of the Platform.

Violation of this Code of Conduct will result in immediate account termination and may be reported to relevant authorities.

4. Premium Membership & Payment

4.1 Subscription

Premium membership is billed at R349 per month. By subscribing, you authorize us to charge your selected payment method.

4.2 Payment Methods

We accept Electronic Funds Transfer (EFT) to our Capitec Bank account. You pay directly from your banking app—we never see your banking credentials.

4.3 Activation

Premium features are activated within 24 hours after we receive and verify your proof of payment.

4.4 Cancellation

You may cancel your Premium subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. Premium benefits continue until that date.

4.5 Refund Policy

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. Due to the nature of our digital service, membership fees are non-refundable except as expressly required by applicable South African consumer protection law. By making a payment, you acknowledge and agree to this no-refund policy.

4.6 Right to Modify Pricing

We reserve the right to modify Premium pricing with 30 days' notice. Price changes will not affect your current billing cycle and will only apply upon renewal.

5. Content & Intellectual Property

By posting content (photos, text, etc.) on Elite Companions, you:

• Grant us a non-exclusive, royalty-free, worldwide license to display, distribute, and reproduce your content solely on our Platform for the purpose of providing our service.
• Represent that you own or have the right to use all content you post.
• Agree not to post copyrighted material without express permission from the copyright holder.
• Acknowledge that we may remove any content that violates these Terms or our policies, at our sole discretion, without prior notice.

The "Elite Companions" name, logo, design, and all proprietary elements are our exclusive intellectual property and may not be used without our express written permission.

6. Privacy & Data Protection

Your use of Elite Companions is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We take your privacy seriously and process your personal data in accordance with POPIA.

7. Disclaimers & Limitation of Liability

7.1 "As-Is" Basis

ELITE COMPANIONS IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee

We do not guarantee: (a) that the Platform will be uninterrupted or error-free; (b) the accuracy, reliability, or completeness of member profiles; (c) the conduct of any member on or off the Platform; (d) successful matches or any specific outcome from your use of our service.

7.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELITE COMPANIONS, ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO EMOTIONAL DISTRESS, LOSS OF PROFITS, DATA LOSS, OR ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Elite Companions, its owners, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you post; (e) your interactions with other members, whether on or off the Platform.

This indemnification obligation survives the termination of your account.

9. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without prior notice, for: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) conduct we deem harmful to our community or business interests. Upon termination, your right to use the Platform ceases immediately. All provisions of these Terms which by their nature should survive termination shall survive.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from these Terms shall be resolved through:

1. Negotiation: Both parties agree to first attempt to resolve the dispute informally.
2. Mediation: If negotiation fails, the dispute shall be referred to mediation in Cape Town, South Africa.
3. Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in Cape Town under the rules of the Arbitration Foundation of Southern Africa (AFSA).
4. Courts: If arbitration is not applicable, the parties submit to the exclusive jurisdiction of the High Court of South Africa (Western Cape Division).

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform. Your continued use of Elite Companions after such modifications constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
